These Terms & Conditions ("Terms") govern your access to and use of the website and services provided by 302 PPC ("we," "us," or "our"). By using our website, booking a consultation, or engaging us for services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Services
302 PPC provides Google Ads campaign setup and management services for service-based businesses. This may include keyword research, campaign buildout, ad copy, bid and budget management, landing page creation and hosting, conversion and call tracking setup, and monthly performance reporting. The specific scope of work, deliverables, and fees for your engagement will be outlined in the onboarding materials provided to you at the start of our engagement.
2. Fees & Payment
- Setup & first month: $1,500, invoiced at the start of the engagement and payable in advance of work beginning.
- Ongoing management: $750 per month, billed on a recurring monthly basis beginning in month two.
- Ad spend: Media spend (the budget paid to Google Ads) is separate from our management fees and is billed by Google directly to your ad account.
- All fees are in U.S. dollars and are non-refundable except as expressly provided in these Terms.
- Late or failed payments may result in suspension or termination of services.
3. Term & Cancellation
Our engagements operate on a month-to-month basis with no long-term contract. Either party may cancel with 7 days' written notice. Upon cancellation:
- Fees paid for the current month are non-refundable.
- We will pause active management at the end of the notice period.
- You retain ownership of your Google Ads account and any access you granted will be returned or removed.
- Hosted landing pages created as part of the engagement remain our property unless otherwise agreed in writing.
4. Client Responsibilities
To deliver effective results, we rely on you to:
- Provide timely, accurate information about your business, services, and target audience.
- Grant and maintain appropriate access to your Google Ads, Google Analytics, Google Tag Manager, or related accounts.
- Maintain an active payment method with Google for ad spend.
- Respond within a reasonable time to approval requests, content reviews, and other items that require your input.
- Comply with all applicable laws and with the policies of Google Ads and any other platform used to deliver services.
5. Performance & No Guarantees
We bring significant experience and best practices to every campaign, but advertising results depend on many factors outside our control — including market conditions, competition, budget levels, seasonality, your offer, and your ability to follow up with leads. We do not and cannot guarantee specific results, rankings, lead volume, conversion rates, or return on investment.
6. Industry Restrictions
We currently do not provide services to roofing companies or personal injury law firms. We reserve the right to decline or terminate engagements with any business at our sole discretion, including where we determine there is a conflict of interest or a misalignment in values or practices.
7. Intellectual Property
All content on our website — including text, graphics, logos, and code — is owned by 302 PPC or our licensors and is protected by applicable intellectual property laws. Campaign assets we create during an engagement (such as ad copy, keyword lists, landing page designs, and templates) remain our intellectual property and may be reused in our work with other clients. You receive a non-exclusive license to use the specific deliverables for the duration of the engagement.
8. Confidentiality
Each party agrees to keep non-public information shared during the engagement confidential and to use it only for the purposes of delivering or receiving the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Third-Party Platforms
Our services rely on third-party platforms — including Google Ads, Google Analytics, Google Tag Manager, and hosting providers. We are not responsible for changes, outages, policy updates, or account actions taken by these third parties, including account suspensions or policy-based ad disapprovals.
10. Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, 302 PPC will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data, arising out of or in connection with your use of our website or services. Our total aggregate liability for any claim relating to the services will not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless 302 PPC and its team from any claims, damages, liabilities, and expenses arising out of your business, your products or services, content you provide, or your violation of these Terms or any applicable law.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of our website or services after changes take effect constitutes your acceptance of the updated Terms.
